1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Operator Foundry documentation platform, website, and related services (collectively, the “Service”). The Service is offered by Finly Ltd, a private limited company incorporated in the Republic of Cyprus (Registration № HE 445932) with its registered office at:

By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you must not use the Service.

3. Scope of the Service

Operator Foundry provides downloadable Documentation Packs, implementation guides and limited advisory support (“Q&A”, “Done‑With‑You”, “Retainer” options). The Service does not provide legal advice, and Finly Ltd is not your lawyer or audit firm. You remain solely responsible for ensuring that any templates are adapted correctly to your organisation and that you obtain any required professional advice.

4. Eligibility & Account Registration

You must be at least 18 years old and have the legal authority to bind your organisation to these Terms. You agree to provide accurate information and keep your account credentials secure.

5. Licence & Permitted Use

Upon full payment we grant you a non‑exclusive, non‑transferable, worldwide licence to download, modify and use the Documentation Packs solely for the internal business purposes of the legal entity that purchased the licence. Resale, public distribution, or making the materials available to third parties (including affiliates) without an additional licence is prohibited.

6. Fees, Taxes & Payment

All prices are quoted exclusive of VAT unless stated otherwise. You authorise us (or our payment processor) to charge your chosen payment method for the applicable fees. Fees are non‑refundable except as required by law or expressly stated in our money‑back guarantee.

7. Intellectual Property

The Service, including all content, trademarks, and Software, is owned by or licensed to Finly Ltd and protected by copyright, trade‑mark, and other laws. Except for the licence granted in Section 5, no other rights are granted to you.

8. Confidentiality

Each party may receive non‑public information (“Confidential Information”) from the other. Both parties agree to keep such information confidential and use it only for the purposes of the Agreement, unless required by law.

9. Data Protection & GDPR

Finly Ltd acts as:

We process personal data in accordance with Regulation (EU) 2016/679 (“GDPR”) and our Privacy Notice. A Data Processing Agreement (“DPA”) incorporating Standard Contractual Clauses is available on request and forms part of these Terms.

10. Security

We implement technical and organisational measures appropriate to the risk, including encryption in transit, access controls and regular audits. You are responsible for safeguarding your own credentials and ensuring local security of any downloaded materials.

11. Warranties & Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not guarantee that the Service will be error‑free or that use of the Documentation Packs will result in audit certification without additional work.

12. Limitation of Liability

To the maximum extent permitted by law, Finly Ltd’s total aggregate liability arising out of or related to these Terms shall not exceed the greater of (i) €1 000 or (ii) the amount you paid for the Service in the 12 months preceding the claim. We shall not be liable for any indirect, consequential, special, incidental or punitive damages, or loss of profits, business, or data.

13. Indemnification

You agree to indemnify and hold harmless Finly Ltd, its directors and employees from and against any claims, damages, losses and expenses (including legal fees) arising from your unlawful use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service with immediate effect if you breach these Terms. Upon termination Sections 7, 8, 11–14 and 17 survive.

15. Changes to the Service or Terms

We may update the Service or these Terms from time to time. Material changes will be notified at least 30 days in advance by email or prominent notice on the site. Continued use after the effective date constitutes acceptance.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. The courts of Limassol have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.

17. Consumer Information & Right of Withdrawal

If you are an EU consumer purchasing digital content, you acknowledge that delivery begins immediately after purchase and you therefore expressly waive the 14‑day withdrawal right under Directive 2011/83/EU.

18. Dispute Resolution

We aim to resolve disputes amicably. Please contact us first. The European Commission provides an Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

19. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. You may not assign or transfer your rights without our prior written consent. Finly Ltd may assign the Agreement in connection with a merger or sale of assets.
